  2. Use in Retrieval-Augmented Generation (RAG) pipelines or similar AI-assisted search and generation architectures.

  3. Data mining, web scraping, harvesting, extraction, or indexing via automated bots, spiders, crawlers, or scrapers.

5. Space Industry Export Controls and Sanctions

Given the nature of the aerospace industry, certain technical data, schematics, or software made available on the Website may be subject to United States export control and economic sanctions laws, including the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), and regulations promulgated by the Office of Foreign Assets Control (OFAC).

By accessing the Website, you represent and warrant that:

  1. You are not located in, under the control of, or a national or resident of any comprehensively sanctioned jurisdiction.

9. Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL COWBOY SPACE CORPORATION, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL), EVEN IF FORESEEABLE.

IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF COWBOY SPACE CORPORATION TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

10. Indemnification

You agree to defend, indemnify, and hold harmless Cowboy Space Corporation, its affiliates, licensors, and service providers from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your violation of U.S. export laws, or your unauthorized use of the Website.

11. Dispute Resolution: Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND HOW CLAIMS ARE RESOLVED.

A. Informal Dispute Resolution

Before initiating formal legal proceedings, you and Cowboy Space agree to attempt to resolve any dispute, claim, or controversy arising out of these Terms or the Website (a “Dispute”) informally. You must contact us at legal@cowboyspace.com with a detailed description of the Dispute. If we cannot resolve the Dispute within sixty (60) days, either party may initiate binding arbitration.

B. Binding Arbitration

If the Dispute cannot be resolved informally, it shall be settled by final and binding individual arbitration administered by National Arbitration and Mediation (“NAM”) in accordance with its Comprehensive Dispute Resolution Rules and Procedures. The arbitration shall take place in the City and County of San Mateo, California, or via remote video conference if mutually agreed.

C. Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

D. Mass Action / Batch Arbitration Protocol

To increase the efficiency of administration and resolution of arbitrations, if twenty-five (25) or more similar arbitration demands are presented against the Company by or with the assistance of the same law firm or coordinated group (a “Mass Action”), NAM shall: (i) administer the Mass Action in sequential batches of 50 demands per batch; (ii) designate one arbitrator for each batch; and (iii) toll the statute of limitations for all unbatched claims until they are formally filed in a batch. You agree to cooperate in good faith to implement this batch approach to resolve claims efficiently.

E. 30-Day Right to Opt-Out

You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to legal@cowboyspace.com within thirty (30) days after first becoming subject to these Terms. If you opt out, all other parts of these Terms will continue to apply to you.

F. Exceptions

Notwithstanding the obligation to arbitrate, either party may bring an individual action in small claims court, or seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights, data security, or prevent unauthorized technical disruption, scraping, or data mining of the Website.

12. Governing Law, Jurisdiction, and Time Limit on Claims

All matters relating to the Website and these Terms shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision. For any disputes exempted from arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the City and County of San Mateo, California.

LIMITATION ON TIME TO FILE CLAIMS: ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

13. Notice to California Residents

14. General Provisions

  • Waiver and Severability: No waiver by Cowboy Space Corporation of any term shall be deemed a further or continuing waiver of such term. If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.

  • Termination: Cowboy Space may terminate these Terms at any time without notice, and accordingly may deny you access to the Website. The obligations and liabilities of the parties incurred prior to the termination date shall survive termination.

  • Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and Cowboy Space Corporation regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
